Aug 17, 2021 · NEW BRITAIN, Conn., Aug. 17, 2021 /PRNewswire/ -- Stanley Black & Decker (NYSE: SWK) today announced that it has agreed to acquire the remaining 80 percent ownership stake in MTD Holdings Inc. ("MTD"), a privately held global manufacturer of outdoor power equipment, including Cub Cadet® and Troy-Bilt®, for $1.6 billion in cash.
The tool manufacturers will form an $8.4 billion company named Stanley Black & Decker. In the deal, Stanley will pay about $4.5 billion to Black & Decker shareholders, who will receive 1.275 shares of Stanley for each share of Black & Decker share they own, a premium of 22% over Black & Decker’s Monday price.
